Terms of use and conditions

These Terms of Use and Conditions and any amendments or supplements to it, (the “Agreement”) form a legally binding agreement between you and CalmClinic. This Agreement governs your access to and use of the Website, any order you place through the Website, and, as applicable, your use or attempted use of our program (collectively, “Your Use”). When you use this site, you agree to the terms and conditions that follow. If you do not agree to these terms and conditions, you should immediately cease use of this site. Any dispute under the “Agreement” or otherwise in connection with the Services shall be brought to the courts of UK, except where prohibited by the applicable laws. If any part of the “Agreement” is found by a court of competent jurisdiction to be invalid, unlawful or unenforceable then such part shall be severed from the remainder of the “Agreement”, which shall continue to be valid and enforceable to the fullest extent permitted by law.

You are encouraged to review these Terms each time you use the Site because your use of the Site after the posting of changes will constitute your acceptance of the changes. Definitions

Client shall mean the user of the CalmClinic Services as explained in the “Agreement”. Offer shall mean the offer to accept the “Agreement” of Services provided by CalmClinic to the Client. Privacy Policy shall mean the privacy policy of the CalmClinic published on the Website. Services shall mean the personal program provided by the CalmClinic to the Client. Distance agreement shall mean an agreement concluded between the CalmClinic and the Client within framework of system organized for the distance sale of Digital programs. Site shall mean the website available at CalmClinic.com.

Purchasing Items from CalmClinic

CalmClinic will provide the Client with a possibility of receiving an Offer through the Site.

Accepting the Offer

When you order a CalmClinic program, payment must be received by CalmClinic prior to Calmlinic’s acceptance of the order. CalmClinic may require additional information regarding your order if you have not provided all of the information required and may cancel or limit an order any time after it has been placed. CalmClinic maintains the right to revise, suspend, or terminate an event or promotion at any time without notice (including after an order has been submitted and/or acknowledged). 

Payment for CalmClinic program

During the period of validity of the Offer, the price for the Services being offered will not increase, except for price changes in VAT-tariffs.

The Client agrees to:

purchase Services from the Site by using valid credit card or other allowed form of payment; provide CalmClinic current and complete information as detailed in the purchase order form. If CalmClinic discovers or believes that any information provided by Client is inaccurate or incomplete, CalmClinic reserves the right to refuse to confirm Client`s payment at their sole discretion and Client forfeits any right to refund paid amount.

After the Client is transferred to the third party payment services, the risk of loss or damages will pass on the Client and/or third party service.

All prices and costs are in US Dollars unless otherwise indicated.

Validity and Termination

The “Agreement” come into effect after the Client accepts it, and electronically expresses its consent to comply with it, and it shall remain in effect for an indefinite period until termination thereof.

CalmClinic may terminate the relationship with the Client by serving a 7-day prior notice to the Client by e-mail in the following cases: 1. the Client does not agree with the “Agreement”; 2. the Client commits any breach of the “Agreement”; 3. the Client does not provide information requested by the CalmClinic and/or provides incorrect and/or incomprehensive information. Notwithstanding the foregoing, statutory termination rights shall not be affected.

Trademarks
This site features logos and other trademarks and service marks that are the property of, or are licensed to CalmClinic. The site may also include trademarks or service marks of third parties. All these trademarks are the property of their respective owners, and you agree not to use or display them in any manner without the prior written permission of the applicable trademark owner.

Limitation of Liability
YOU EXPRESSLY UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES WILL CALMCLINIC, ITS SUBSIDIARIES, REPRESENTATIVES, AFFILIATES OR AGENTS BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. THIS INCLUDES WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. THIS APPLIES REGARDLESS OF THE MANNER IN WHICH DAMAGES ARE CAUSED, AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR OTHERWISE RESULTING FROM (1) THE USE OF, OR THE INABILITY TO USE, THE WEBSITE; (2) THE USE OF, OR THE INABILITY TO USE, CALMCLINIC PROGRAM PURCHASED ON THE WEBSITE; OR (3) THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR ITEMS.

Eligibility

The Services is available only to individuals that can form legally binding contracts under EU law therefore the Client confirms that he/she is at least 18 years old. If the Client is accessing Services on behalf of a person who is not 18 years old, the Client confirms that he/she is that person legal guardian and is responsible for that person`s compliance with the “Agreement” and will indemnify CalmClinic for any losses or damages that CalmClinic will suffer as a consequence of failing to comply with the “Agreement”.

Communication with CalmClinic

In general, CalmClinic prefers communication by e-mail. By accepting these the “Agreement”, the Client accepts communication by e-mail. For this purpose, the Client is requested to have a valid e-mail address and provide it when filling required information. The Client should check its e-mail messages regularly and frequently. E-mails may contain links to further information and documents on the Site.

The communication with the Client will be made in English, unless CalmClinic and the Client agree to communicate in another language.

The Client may contact us at any time by sending a message from our website.

By submitting a complaint, the Client should clearly indicate that a complaint is submitted and specify the grounds and circumstances concerning the complaint. We will consider the complaint and respond to the Client within 14 calendar days since the day of receipt of a relevant complaint.
